This role sits within the Section of the Law Department focused on Global Technology and Operations, Employment, Benefits and Information (GEBI).  This Section provides strategic legal advice across the enterprise on a wide variety of issues, including those associated with both the businesses and support functions of the enterprise.  Its members strive to provide actionable advice that considers commercial implications and to become trusted advisors to their business partners around the globe.

Key Responsibilities:

  • Review, draft, and negotiate a wide variety of customer agreement provisions related to technology, cybersecurity and intellectual property and provide ancillary support for commercial vendor agreements (e.g, related to technology, software licensing agreements, software and application development agreements, and SaaS/cloud services agreements)
  • Advise on legal issues related to AI, cloud computing, outsourcing and information security across the full technology lifecycle, from procurement, development, and implementation/deployment for both (i) enterprise technology and (ii) core products offered and developed by lines of business.
  • Engage with leaders within GTO, U.S. Business, Investments, Marketing and businesses in the regions about legal issues involved with the acquisition and implementation of new technology, including AI.
  • Support M&A and other third-party deals serving as an advisor on IT issues, including those related to software, hardware and services.
  • Track and provide guidance on changes in laws affecting technology, AI and breaches of technology by unauthorized parties, particularly with respect to financial services companies.

Essential Business Experience and Technical Skills:

Required:

  • 6+ years of experience at a major law firm and/or in-house legal department working on technology issues, technology transactions or advising, reflecting a record of accomplishment.
  • Juris Doctor degree from an accredited law school.
  • Admitted to a state bar, in good standing, and eligible to be appointed as in-house counsel in New York, as appropriate.
  • Exhibits crisp, clear oral and written communication skills; demonstrates command of contract drafting and negotiation and the ability to analyze and reduce legal issues to straightforward, practical advice to be provided to business partners, including senior leaders.

Preferred:

  • Has experience in any of the following areas: artificial intelligence, insurance and/or other regulated financial services, navigating multinational organizations and international laws and regulations, or intellectual property.
  • Possesses familiarity with privacy laws, outsourcing or intellectual property laws.
  • Demonstrates persuasion and leadership skills, especially in the context of the ability to relate to different stakeholders, business partners and colleagues.
  • Capable of thriving in a fast-paced environment.
