The Opportunity

The Corporate Counsel role will primarily advise M&A and Enterprise Reinsurance on potential domestic and international transactions and other strategic initiatives. 

 

You will join the Enterprise Transactions Legal team within MetLife’s Government & Legal Affairs organization. This team provides legal support for complex, high‑impact strategic transactions across Corporate Development Mergers & Acquisitions (M&A), Enterprise Reinsurance and MetLife Insurance Investments. 

 

This position requires transactional expertise and the ability to manage complex projects across multiple jurisdictions and enterprise stakeholders.

 

Key Responsibilities

  • Provide legal support for domestic and international mergers, acquisitions, reinsurance transactions and other strategic initiatives.
  • Analyze and evaluate potential strategic opportunities from the legal perspective.
  • Assist in managing all phases of transactions globally, from initial consideration of opportunities, engagement letters, confidentiality agreements, due diligence, bid letters, and negotiation of transaction agreements through to closing and post-closing obligation management.
  • Coordinate the work of domestic and international legal teams supporting transactions from other units and sections.
  • Partner proactively with business stakeholders to identify issues and develop practical solutions and keep them informed of relevant developments in the law.
  • Manage relationships with outside counsel, including fee negotiations, performance oversight, invoice review and expense management.

 

Required Qualifications

  • Juris Doctor (J.D.) with a minimum of four years of M&A or transactional corporate experience.
  • Strong ability to leverage translate complex legal issues into clear, actionable advice for non‑lawyers.
  • Excellent communication, negotiation, and interpersonal skills, with the ability to perform well under pressure.
  • Highly collaborative, proactive business partner mindset.
  • Demonstrated comfort leveraging artificial intelligence tools to enhance legal research, drafting, and efficiency, while exercising sound judgment with an appreciation for accuracy

 

Preferred Qualifications

  • Experience supporting complex, multi‑jurisdictional transactions.
  • Experience drafting and negotiating reinsurance treaties and related documentation.
  • Strong judgment and attention to detail in fast‑moving transactional environments.

Location Expectation: This is a hybrid role requiring a minimum of 3 days per week in office.
The expected salary range for this position is $133,500 - $177,900. This role may also be eligible for annual short-term incentive compensation. All incentives and benefits are subject to the applicable plan terms.
